Hi,
I think if we connect the P3.0 and P3.1 to the RxD and TxD of the modem, with the other pins (p3.2-p3.7, if free) being connected to the other modem lines like CD, OH, AA DTR etc, the hardware part should be complete, then it is the Software that should take care of the rest...
