Mickael your idea worked out and i got my problem solved by using
mov T2CON,#01000100B

Ijaz, also your conventions signature bytes worked out.

as the assembler is shown that ZERO errors & ZERO Warning.

i tried to DEBUG the program to see whats happening, but i got error, for the 1st time i have seen it in Keil software, it indicate that:

*** error 65: access violation at C:0x0000 : no 'execute/read' permission

i have no idea whats the reason, but i didn`t start the program from "00H" instead i have started from " org 0008h" to defince DATA variable in the memory location, then start the program to Starts at USER ROM, i mean External EEPROM.

so have any one faced this problem befor?
