The circuit is pretty involved. Take out sections one by one and isolate.

I too had a reset problem, using a Catsemi eeprom with watchdog chip. Eventually I figured it out by taking everything off the board except the cat chip. Now it works fine. Turns out catsemi neglected to talk about a pulldown resistor in their data sheets. Its in there now though.
