I have two PCs both have separate supplies. i made a null modem cable(dont know if it has optos inside the cable) but this easily transfers data between the two(even though flow control and error control not used). now if i replace the one PC with raghunathan's device, its a good DTE i assumed) how will cable come to know and in turn malfunction.

Raghu's device has analog components. Your average RS-232 connection may not care a thing about 500mV of ground noise, but an ADC definitely does!
