i preferred MS-Draw to Verio, but i don't think they make MS-Draw as a separate product anymore. i've used xfig, too, seemed like it was ok.
i haven't used fizzim but it looks free. there is another code generator on sourceforge.net called dia2c, i think the input is UML, the output is C. "A graphical finite state machine editting tool and code generator. Fizzim! allows FSM diagrams to be quickly laid out, and can generate C++ objects which execute the diagram efficiently when incorporated into another program.
