Thanks for your suggetions. I have made two layer board only. but CPU is mounted on a small two layed PCB with one side ground pane and all 100 pins routed to 4 edges.

I too observed the problem in operating @ 49mhz.
i reduced it to 11.0592 and some how it is less prone to EMC.

i am using 'HCT' 245, 574 at 3.3V.

there is no ground pane on the main PCB.

I think i have to redesign the entire CPU board with 4 layer PCB as suggested by you all.

can any one design it for me? ofcourse for a fee.
i have already exceeded the schedule and no time now.
