Is the device to the left the 5V 8051, and Vcc=5V?

All you seem to be doing is using the 2 diodes to make it effectively a pull-up to 3.3V, instead of 5V?
But, surely, you must have a 3.3V supply for the other chip?
So why not just connect the pullup to that?

3.9M sounds a bit high...?
