I've said it before (2 hours after the OP raised the question) and I'll say it again: DS80C390.

It has ALL requirements:
1. operate on 5V VCC
2. 32 Programmable I/O
3. Support 128K external code/data
4. Ind. Std. Good Compiler like Keil
5. Need micro controller.
6. Standard Features of 8051
